Derek H. Sparks is a Partner in the firm’s Miami office, focusing his practice on Employment and Labor Law, Commercial Litigation, and Business Transactions.

Derek works closely with employers in the defense of lawsuits, appeals, and administrative proceedings, including discrimination, whistleblower and retaliation claims, misappropriation of intellectual property, and class and collective actions under federal and state wage and hour laws.  He also prosecutes and defends trade secret and restrictive covenant cases, including non-compete and non-solicitation agreements.  To proactively avoid litigation, Derek advises companies in implementing and maintaining policies and procedures to ensure compliance with federal and state employment laws and regulations and follows up with training seminars tailored to managers and front-line employees.  He is a frequent speaker on a variety of workplace law topics.

Another significant aspect of Derek’s practice is the representation of corporate clients in business disputes arising out of commercial transactions and investor relationships.  Derek has significant jury and bench trial experience in commercial cases.

Derek’s experience also includes advising public and private companies in mergers and acquisitions, private equity transactions, securities offerings, and other corporate matters.

  • Obtained summary judgment for one of the largest U.S. healthcare systems against former employee’s claims seeking over $450,000 in actual damages.
  • Obtained take-nothing jury defense verdict for real estate client against claims of breach of contract, fraud, breach of fiduciary duty, and conversion seeking over $8.4 million in actual damages.
  • In a Fair Labor Standards Act claim against a national transportation company seeking unpaid overtime compensation, defeated plaintiff’s motion for conditional certification of a nationwide collective leading to favorable early resolution.
  • For a national restaurant client, analyzed 37 positions to determine whether non-exempt employees and independent contractors were correctly classified under federal and state law.
  • Drafted non-competition and other restrictive covenant agreements for senior executives and sales personnel of national automotive client operating in 43 states.
  • Represented commercial real estate services company in the acquisition and management of income-producing properties, including the $6.7 million purchase of apartment complex funded through private placement and bank financing.
  • Negotiated and drafted over ten mergers, acquisitions, and divestitures valued at over $80 million.
