Matthew B. Lipari

Attorney

Matthew Lipari is an Attorney at Kelley Kronenberg, focusing his practice on business and corporate transactions, complex commercial litigation, and equine law. Matthew counsels and litigates for closely held and family-owned businesses, automobile dealers, and equine-industry clients. On the transaction side, he handles entity governance, equity-structure design, ownership transitions, and commercial contracts. On the litigation side, he handles the business, contract, and control disputes that arise when those relationships break down, through dispositive motion practice, arbitration, and trial.

Matthew’s litigation practice covers complex commercial disputes with particular depth in closely held and multi-entity business disputes, including operating-agreement and shareholder disputes, business divorces, buyouts, books-and-records demands, and control and management-authority fights across related entities. He also handles dealer and auction transaction disputes, real-estate-backed litigation requiring diligence of closing, title, and loan records, supply and licensing disputes involving branded products, and restrictive-covenant enforcement.

Matthew’s transactional and advisory practice covers corporate governance, ownership, and control matters for closely held and multi-entity businesses. He drafts and negotiates operating and partnership agreements, vendor agreements, restrictive covenants, and consumer-facing compliance documents, and reviews commercial agreements for indemnification, dispute-resolution, and audit provisions. He has handled equity-structure design for a multi-program corporate client, including new equity classes, unit reclassifications, and call-option provisions across the related governance documents. Matthew also provides M&A advisory and deal documentation for clients, and regularly advises family-owned businesses on overlapping family-business relationships, disputed control, ownership transitions, and business separations where the operating business and ownership interests must be evaluated separately.

Prior to joining Kelley Kronenberg as an Attorney, Matthew served as a Law Clerk with the firm and at South Florida law firms, gaining experience in litigation matters involving real estate, estate planning, probate, insurance defense, medical malpractice, personal injury, and maritime law.

Matthew earned his Bachelor of Science in Business Administration with a concentration in Finance from the University of Central Florida. He received his Juris Doctor from Nova Southeastern University, Shepard Broad College of Law, where he graduated summa cum laude and as Valedictorian. While in law school, he received CALI Excellence Awards in seven courses, served on the Moot Court Honor Society, NSU Trial Association, and Journal of International Law and Comparative Studies, and was a Research Assistant for Professor Randolph Braccialarghe.
